La Comisión Europea aprobó la adquisición de Carrefour Italia por New Princes.
Los comunicados celebran €700M en utilidades proyectadas.
Pero los números cuentan otra historia.
#1. El precio real: €1 simbólico
Carrefour Francia prácticamente regaló su operación italiana.
No fue una “oportunidad estratégica”:
fue un activo en distress que el grupo necesitaba soltar.

9M 2024: €2.03B
9M 2025: €1.9B
Factores poco mencionados:
Inflación alimentaria (presión sobre volúmenes)
Apreciación EUR/GBP (afecta conversión de ingresos del negocio UK)

Más del 60% de la utilidad 2024 proviene de business combination gains

Conclusión
Mastrolia es hábil: compra activos distressed a precio de saldo y escala rápido.
Pero la velocidad también trae:
Riesgos de integración
Necesidad masiva de capital
Dependencia excesiva de ganancias no operativas
Fragilidad ante FX y entorno macro
Los comunicados venden historias.
Los analistas serios deben mirar debajo del maquillaje:
✓ Ajustar resultados por no recurrentes
✓ Distinguir utilidad contable vs utilidad real
✓ Evaluar proyecciones con escepticismo
✓ Cuestionar sobrerregulación innecesaria
